Affiliate Terms

1. The programme

These terms govern the Ringby partner programme between Ringby UK ("we") and the approved partner ("you"). Enrolment is by application and at our discretion; we onboard partners by hand and may pause applications at any time. Payouts are calculated and paid manually until we say otherwise.

2. Commission

• Rate and base. 25% of collected seat fees paid by customers you refer, excluding VAT and excluding call usage and number rentals (which are pass-through costs). Managed outbound referrals are scoped and priced separately by agreement.
• Term. 12 months from each referred customer's first payment. Fees collected after month 12 do not earn commission.
• Refunds and clawback. Refunded seat fees never earn commission. Commission already paid on later-refunded fees is deducted from future payouts or repayable on demand.
• Payment. Monthly by bank transfer, 30 days in arrears, once the referred customer is past the 30-day money-back window. £50 minimum payout; smaller balances roll to the next month. You are responsible for your own taxes on commission received.

3. Attribution

• How tracking works. We issue you a referral link and code. Signups arriving through your link are attributed to you automatically.
• First touch wins. Where more than one partner could claim a customer, the first link clicked in the 90 days before signup decides. Our attribution records are determinative; raise disputes within 30 days with evidence and we will review them.
• Self-referrals. Your own accounts, companies you control, and existing Ringby customers never qualify for commission.

4. Conduct

When promoting Ringby you will:

• Comply with PECR, UK GDPR and equivalent direct-marketing laws in your own outreach. No spam, no scraped lists, no misleading claims about the product, pricing or this offer.
• Not bid on the Ringby brand (including misspellings) in paid search or use our branding in ways that imply you are Ringby.
• Not offer prospects terms we have not approved (discounts, guarantees, timelines). Send bespoke requests to us first.

Breach pauses commission with immediate effect while we investigate.

5. Term and termination

Either side may end participation with 14 days' notice. We may end it immediately for breach of Section 4 or for fraud. Earned commission up to the termination date remains payable on the normal schedule, except commission tainted by breach or fraud, which is forfeit.

6. Independent parties

You act as an independent referrer, not our agent, employee or partner in law. Nothing here authorises you to bind Ringby, negotiate on our behalf, or make promises about the Service beyond our published pages and these terms.

7. Liability and governing law

Neither party excludes liability that cannot be excluded under English law. Subject to that, each party's total liability under these terms is limited to the commission paid or payable in the 12 months before the claim. These terms are governed by the laws of England and Wales, under the exclusive jurisdiction of its courts.
